Agreement to Terms

By accessing or using GuardScope ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

Description of Service

GuardScope is a B2B SaaS platform that helps agencies and freelancers capture and manage client approvals for decisions and scope changes. The Service provides:

• Creation and management of decision records
• Client approval workflows
• Timestamped approval records
• Project and client management features

GuardScope is NOT a contract signing tool, legal document platform, or CRM. It is a lightweight decision and scope approval tool designed for use during active projects.

Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to solicit others to perform unlawful acts
• Violate any international, federal, provincial, or state regulations, rules, or laws
• Infringe upon or violate our intellectual property rights or the rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload or transmit viruses or any other type of malicious code
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers connected to the Service

Subscriptions and Billing

The Service is offered on a subscription basis. By subscribing, you agree to pay the fees specified for your chosen plan.

• Subscription fees are billed in advance on a monthly or annual basis
• Fees are non-refundable except as required by law
• We reserve the right to change our pricing with 30 days' notice
• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period

Intellectual Property

The Service and its original content, features, and functionality are owned by GuardScope and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for the purpose of providing the Service.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, and hereby disclaim all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. Approval records created through the Service are for reference purposes and do not constitute legal advice or legal documentation.

Limitation of Liability

In no event shall GuardScope, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for all claims arising out of or relating to the use of the Service shall not exceed the amount you paid to us in the twelve (12) months prior to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless GuardScope and its officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
